Our IP: means intellectual property owned or licensed by Us relating to Our Website, Products or Services, including the text, graphics, logos, icons, the software and any other material underlying or forming part of this Website or Our Products or Services and includes any rights to that intellectual property, including any copyright, trade or service mark, trade or business name, logos and any other distinctive brand features, design, patent, semiconductor or circuit layout right, computer code (including source, library, object, and executable code), inventions and logical sequences, in all cases whether registered or unregistered and anywhere in the world.
Subscription: means an arrangement to view the contents of this website on a prepayment plan.
Subscriber: means a natural person who pays for the subscription.
Privacy Statement: means Our Privacy Statement available at info@myhq.nz.
Products: means any products provided to or by Us via this Website.
Services: means any services, features or functionalities provided to You by Us via this Website.

We, Us and Our: means MYHQ New Zealand Limited.
You: means you as an individual and Your has a corresponding meaning.
1. Application
The following terms and conditions apply to anyone who Subscribes to this website. By purchasing a Subscription you agree to these terms and conditions. They operate in conjunction with this Website’s Terms and Conditions of Use. If there is inconsistency between the two sets of terms and conditions then the Terms and Conditions for Subscribers will take precedent.
2. Use of personal information
You agree that we can collect, hold, use and disclose your personal information in accordance with our Privacy Policy.

4. Private use only
Your access to this website as a Subscriber is only for personal use and cannot therefore be for any commercial purpose. You must not share your access code to this website with anyone else. You are not permitted to on-sell Subscriptions or the content of this website to any third party. No content on this website may be reproduced, published or transmitted without prior written consent from us.
5. Auto-renewal and cancellation
Your Subscription will automatically be renewed at the end of the applicable subscription period for a further period of the same duration, and it will continue to renew at the end of each additional subscription period, until cancelled or terminated. You must cancel your Subscription before it renews to avoid paying for future subscription periods. Your Subscription cannot be paused or suspended.
You may cancel your Subscription at any time by contacting subscribe@myhq.nz . Cancellation will take effect at the end of your current Subscription period. You will not receive a refund for any unused portion of your current subscription period. Your Subscription will continue until the end of your current Subscription period.
Notwithstanding the above, if you are subscribing to the website for the first time as a new Subscriber, a full 30-day trial period will apply during which time you may cancel your Subscription within that 30-day trial period and receive a full refund less any bank processing fee that may be applicable.
6. Cost and Pricing
The price and any specific terms relating to your Subscription will be confirmed to you when you subscribe. You can also find the specific details relating to your Subscription, including the price and date of your next scheduled Subscription renewal payment, by visiting your personal account profile in this website. The price for subscription is denominated in NZ dollars and no GST is applicable.
7. Payment
Subscriptions must be pre-paid. We will deduct the price of your Subscription at the time you purchase your Subscription using the debit/credit card details you have provided, and then automatically deduct at the beginning of each subscription renewal period until your Subscription is cancelled or terminated. It is your responsibility to provide valid debit/credit card details and an email address, and to ensure those details are kept up to date at all times. If your debit/credit card expires, we will continue to charge you using the same debit/credit card account details you provided when you first subscribe. You hereby authorise us to deduct the price of your Subscription from your debit/credit card account even if your debit/credit card had expired during any Subscription period.
If we are unable to contact you or deduct the price of your Subscription we will retry for a minimum period of 14 days, after which time your Subscription may be cancelled at our discretion. We reserve the right to change the timing of our billing, or cancel your Subscription should we fail to secure payment using the debit/credit card details you have provided at any time.
8. Changes to pricing
We can change the price of any Subscription packages and the amount that you pay (to be effective at the start of your next subscription period) at any time as long as we notify you. Once we notify you of a change in the price, you will have the opportunity to cancel your Subscription (to be effective at the end of the then current subscription period). If you do not cancel, you will be charged the new price at the beginning of your next subscription period.
9. Special offers
From time to time, we may offer different Subscription packages and special promotions. We reserve the right to change and or withdraw any offered Subscription packages or special promotion at any time. We may make special offers on Subscription packages that are available to new subscribers only. To be eligible as a new Subscriber you must not have had a Subscription in the previous 12 months.
If you sign-up for a new Subscriber special offer, we will tell you the special terms relating to that offer at the time you sign-up. These are one-time offers and you will not be able to cancel your new Subscription and then re-subscribe on the same terms. We can amend or withdraw these special offers at any time.
10. Personal Information and Communication
You are responsible for providing accurate contact, order, and payment information to us. You may update your debit/credit card details or make changes to information you had previously provided to us by visiting the account details page in this website.
11. Privacy
By purchasing a subscription, you agree to our Privacy Policy. You also agree that we man ask for any information about you in accordance with the Privacy Act (New Zealand) and our Privacy Policy. To find out more, please read our Privacy Policy on this website. We can change our Privacy Policy from time to time. Some key terms of our current Privacy Policy are summarised below.
You agree that we can use your personal information for the following purposes:

12. Communication and notices

13. Changes to the terms and conditions for Subscribers
We reserve the right to change the terms and conditions at any time provided we notify you of any significant changes at least 14 days before they come into effect.
14. Changes to the website
We are entitled to make changes to the content, features and structure of this website at any time. We may also change the price of your Subscription in accordance with the existing terms and conditions.
15. Right of termination
We can terminate or suspend your Subscription at any time and for any reason including failure to pay the subscription fee, if we suffer technical difficulties, or for security reasons. If we terminate your Subscription, you may receive a pro-rata refund or credit (at our discretion) of the unused portion of the Subscription fees paid in advance, unless termination is the result of a serious breach of the terms and conditions for this website.
16. Liability
To the extent permitted by law, we are not liable to you for any loss or damage incurred by you in connection with your Subscription, whether direct, consequential, special, indirect or for other loss or damage. In any case, our maximum liability to you is limited to the value of subscription fees paid by you within the 3 months preceding any loss or damage (consequential or otherwise) suffered by you in connection with your Subscription.
